These Terms and Conditions ("Terms") govern the use of the Text Editor website and the Text Editor browser extension, together with all related services (the "Service"), operated by SHIFT LLC, a company registered in the Republic of Armenia at 5, street 17, Argel, Nor Hachn, Kotayk region, 2404, RA (the "Company", "we", "us"). By accessing or using the Service, you ("User", "you") agree to be bound by these Terms.

General Terms

By accessing and ordering from SHIFT LLC through Text Editor you agree to these Terms. The Company disclaims liability for damages arising from the use or inability to use the Service or its materials. SHIFT LLC reserves the right to modify pricing and usage policies at any time.

Service Description

Text Editor is a browser-based notepad and text-editing tool delivered as a browser extension and a supporting website. The specific features and functionalities of the tool are described on the Service. The Service is provided on an "as is" and "as available" basis.

Subscriptions, Billing & Renewal

• Plans & prices: Weekly — US$1.99 per week; Monthly — US$4.49 per month; Yearly — US$41.88 per year (equivalent to US$3.49 per month). All prices are in U.S. dollars and exclude any applicable taxes.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate, unless cancelled at least 24 hours before renewal.
• Cancellation: You can cancel at any time from your account or by writing to slavchick11@gmail.com. After cancellation you keep access until the end of the current billing period.
• Failed payments: If a renewal payment fails, we may suspend access until the balance is settled.

Refunds

Refunds are handled in accordance with our Refund Policy, which forms part of these Terms.

License

SHIFT LLC grants you a revocable, non-exclusive, non-transferable, limited license to download, install (where applicable) and use the Service strictly in accordance with these Terms.

Restrictions

You may not commercially exploit, license, sell, or reverse-engineer the Service except where permitted by law. You must not remove any proprietary notices or create derivative works.

Your Suggestions

Any feedback, ideas or suggestions you provide regarding the Service become the exclusive property of SHIFT LLC. The Company may use such suggestions freely, without compensation or attribution.

User Content

You retain all rights to the text and files you create with the Service. We do not claim ownership of your content. Your content is stored locally in your browser and is not uploaded to our servers.

Links to Other Websites

These Terms apply only to the Service provided by SHIFT LLC through Text Editor. The Company is not responsible for the content, accuracy or policies of external websites.

Cookies

SHIFT LLC uses cookies to identify the areas you have visited and to enhance functionality. Disabling cookies may limit access to parts of the Service. No personally identifiable information is stored in cookies.

Modifications & Updates to the Service

SHIFT LLC reserves the right to modify, suspend or discontinue, temporarily or permanently, the Service or any part of it without notice and without liability to you. Updates may modify features and become an integral part of the Service. The Company has no obligation to provide updates or to maintain any specific functionality.

Third-Party Services

SHIFT LLC is not responsible for the accuracy, legality or quality of any third-party content. You access such services at your own risk and subject to the relevant third party's terms.

Term and Termination

This agreement remains in effect until terminated by either party. SHIFT LLC may suspend or terminate your access without notice, with immediate effect upon any violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

Indemnification

You agree to indemnify and hold harmless SHIFT LLC and its affiliates from any claims arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party right.

No Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. The Company does not warrant that the Service will be uninterrupted, error-free, secure or compatible with other systems.

Limitation of Liability

To the maximum extent permitted by law, the Company's liability is limited to the amounts you actually paid for the Service. SHIFT LLC shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of data, revenue or profits.

Intellectual Property

The Service and its entire contents, features and functionality are owned by SHIFT LLC and are protected by Armenian and international copyright, trademark, patent, trade-secret and other intellectual-property laws.

Dispute Resolution & Arbitration

Disputes that cannot be resolved informally shall be settled by binding arbitration, excluding claims for injunctive relief relating to intellectual property. Before commencing arbitration, a party must send written notice of the dispute by email to slavchick11@gmail.com, after which the parties have 60 days for informal negotiation. To the extent permitted by law, you waive any right to a jury trial, and the prevailing party's reasonable legal costs may be borne by the non-prevailing party.

Typographical Errors

In the event of an incorrect price, SHIFT LLC may refuse or cancel the affected order. If your payment has already been charged, a credit will be issued in the amount of the incorrect price.

Severability, Waiver & Entire Agreement

If any provision of these Terms is found unenforceable, it will be modified to reflect its intent as closely as possible, and the remaining provisions will stay in effect. Our failure to exercise a right does not waive that right or any subsequent breach. These Terms supersede all prior agreements and constitute the entire understanding between you and the Company.

Amendments to the Terms

SHIFT LLC reserves the right to modify these Terms at any time. Material changes will be posted on this page with an updated date and will take effect 30 days after notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the Republic of Armenia. Courts may grant injunctive relief for breaches. The Company operates from its offices in the Republic of Armenia.
